1. About These Terms
These Terms of Service & Engagement (“Terms”) govern access to and use of the BHR Code website, associated digital properties and applicable professional, business and commercial interactions initiated through BHR Code’s digital channels. “BHR Code”, “we”, “us” and “our” refer to BHR Code Private Limited. By using the website, you agree to the provisions applicable to website access and use. Where a form or process expressly requires acceptance of these Terms, that acceptance also applies to the relevant engagement provisions. These Terms do not replace a separately executed client agreement, master services agreement, statement of work, employment or consultancy agreement, NDA, vendor agreement, partnership agreement or other written agreement. A separate written agreement prevails within its scope to the extent of any direct inconsistency.
2. About BHR Code
BHR Code provides and develops professional and enterprise capabilities that may include talent, technology, delivery, consulting, managed services and related business solutions. Website information is general and does not itself constitute a binding proposal, guaranteed service, statement of work, service-level agreement, employment or placement offer, partnership appointment, approved-vendor appointment, guaranteed resource availability or other binding commercial commitment.
3. Acceptable Use
You may use the website for legitimate informational, professional and business purposes. You must not use it for unlawful, fraudulent, deceptive or malicious activity; attempt unauthorised access; disrupt systems or security; introduce harmful code; impersonate others; knowingly submit materially false information; misuse forms; unlawfully exploit content; or infringe intellectual-property, privacy, confidentiality or other legal rights. BHR Code may take reasonable measures to protect its website, systems, users and operations.
4. Website Information
BHR Code seeks to maintain useful and reasonably current website information, but content may change as services and operations evolve. Website content is not legal, tax, financial or investment advice and does not guarantee a commercial, recruitment, project or professional outcome.
5. Business and Service Enquiries
Submission of an enterprise, technology, delivery, managed-service, talent or other business enquiry allows BHR Code to evaluate and respond to it. Submission does not by itself create a client relationship, require acceptance, reserve capacity or establish pricing, timelines, deliverables or service levels. Where an engagement proceeds, the applicable scope and commercial terms may be established through appropriate proposals, agreements, statements of work, purchase orders or other agreed documentation.
6. Partner and Alliance Engagements
Submitting a partnership or alliance proposal allows BHR Code to evaluate the proposed relationship but does not require BHR Code to proceed. Submission, discussion, due diligence or response does not by itself create a legal partnership, joint venture, agency, franchise, employment or fiduciary relationship, exclusivity, approved-vendor status, subcontracting appointment, entitlement to work or revenue, or authority to represent BHR Code. A person submitting information on behalf of an organisation is responsible for having appropriate authority to do so. General website channels are intended primarily for initial interactions. Submission through a website form does not itself create an NDA. Where detailed confidential information needs to be exchanged, an appropriate confidentiality arrangement may be established separately. Further discussions, due diligence or confidentiality arrangements do not guarantee onboarding, project allocation, revenue, minimum business volume, exclusivity, client introductions or continuation of a proposed relationship.
7. Talent and Recruitment
Submission of a talent requirement does not itself create a binding staffing or recruitment engagement. Applicable commercial terms may be governed by separate documentation. Candidates are responsible for providing information that is accurate to the best of their knowledge and for having authority to provide submitted documents. Fraudulent documents, impersonation and material misrepresentation are prohibited. Submission of a CV, profile or application does not guarantee interview, shortlisting, client submission, selection, employment, placement, assignment or compensation. Personal data is handled in accordance with the BHR Code Privacy Policy.
8. Vendors, Consultants and Service Providers
Registration, submission of credentials, discussions, due diligence or proposals do not automatically create approved status or an engagement. No person or organisation may represent itself as an authorised BHR Code vendor, partner, consultant, agent or representative without appropriate authorisation.
9. Intellectual Property
Unless otherwise stated or lawfully owned by another party, the BHR Code website and its original branding, design, text, graphics, documentation and other materials are owned by or licensed to BHR Code and may be protected by applicable intellectual-property law. Use of the website does not transfer ownership. Unauthorised reproduction, modification, distribution, commercial exploitation, misrepresentation or removal of ownership notices is prohibited except where permitted by law or authorised by BHR Code. Third-party intellectual property remains the property of its respective owners.
10. Information Submitted to BHR Code
You retain ownership of information and materials that you lawfully own. By submitting information through a BHR Code channel, you permit BHR Code to receive, review, store, route and use it as reasonably necessary for the relevant interaction, service, evaluation, recruitment, administration or other purpose described in the Privacy Policy or permitted by law. You are responsible for having the right or authority to submit the information. Do not submit passwords, access credentials, source code, trade secrets or highly sensitive proprietary material through a general website form where a secure or separately agreed process would be more appropriate.
11. Privacy
Personal data is handled in accordance with the BHR Code Privacy Policy. Cookies and similar technologies are addressed in the BHR Code Cookie Policy. Additional data obligations may apply under a separately executed engagement.
12. Third-Party Services
BHR Code may link to independent third-party websites, platforms, technologies or services. BHR Code does not control their independent content, availability, security, terms or privacy practices merely because a link or reference appears on the website. References do not by themselves constitute endorsement, partnership or affiliation.
13. Website Availability and Security
BHR Code may maintain, update, modify, restrict or temporarily suspend website functionality for reasonable operational, security, technical or business reasons. Continuous availability or freedom from every error or security risk is not guaranteed.
14. Technology and Automation
BHR Code may use or develop technology-assisted capabilities as its operations evolve. References to technology, automation or artificial intelligence do not mean that every service, recruitment decision, website interaction or business process is automated or AI-driven. Any specific technology-related commitments within a client or commercial engagement are governed by the applicable agreement.
15. Compliance and Ethical Conduct
Parties interacting with BHR Code are expected to comply with applicable law. BHR Code may decline, restrict or discontinue an interaction where proceeding would create unacceptable legal, security, ethical, reputational, operational or commercial risk.
16. Disclaimer
To the extent permitted by applicable law, the website and general website information are provided on an “as available” basis. BHR Code does not guarantee that all information will always be complete, current or error-free; that every enquiry will result in an engagement; that every requirement can be fulfilled; or that a particular commercial or professional outcome will result. Nothing in these Terms excludes rights, remedies or liabilities that cannot lawfully be excluded or limited. Specific commitments in an executed agreement remain governed by that agreement.
17. Limitation of Liability
To the maximum extent permitted by applicable law, BHR Code will not be liable solely by reason of use of, inability to use, or reliance upon general website content for indirect, incidental, special or consequential loss where such liability may lawfully be excluded or limited. Where a separate executed agreement governs a service or commercial relationship, its liability provisions govern matters within its scope.
18. Restriction of Access
BHR Code may restrict or suspend access to website functionality where reasonably necessary because of suspected unlawful activity, security threats, attempted unauthorised access, material misuse, fraudulent submissions, interference with website operation or material breach of these Terms.
19. Changes to These Terms
BHR Code may update these Terms to reflect changes in website functionality, services, engagement models, operations, technology or applicable requirements. Changes apply prospectively from the applicable effective date unless otherwise required by law or agreed. They do not automatically amend a separately executed agreement.
20. Governing Law and Jurisdiction
These Terms and matters arising specifically from use of the BHR Code website or interactions governed solely by these Terms are governed by the laws of India, subject to applicable law. Subject to mandatory legal requirements and any different provisions in a separately executed agreement, the competent courts having jurisdiction in Faridabad, Haryana, India will have jurisdiction over disputes arising from these Terms. A separate agreement’s governing-law or dispute-resolution provisions govern matters within that agreement’s scope.
21. Severability and No Waiver
If any provision is determined to be invalid or unenforceable, the remaining provisions continue to apply to the extent legally permissible. A failure or delay by BHR Code in exercising a right does not by itself constitute a waiver.
22. Related Documents
These Terms should be read together, where relevant, with the BHR Code Privacy Policy at /privacy-policy and BHR Code Cookie Policy at /cookie-policy.
23. Contact
Questions concerning these Terms may be directed through the appropriate contact channel available on the BHR Code website. Privacy and personal-data requests should be directed to privacy@bhrcode.com.
